Webstage Terms of Service

THE PARTIES AGREE as follows:

1. Interpretation

• 1.1 - Client means a person or organization that enters this agreement with Dunedinmusic.com Ltd.
• 1.2 - Website means the end product of this agreement supplied by dunedinmusic.com Ltd.
• 1.3 - Termination means finalizing this agreement with no further obligations from either party.
• 1.4 - This agreement is the entire agreement.

2. Dunedinmusic.com Ltd Agrees;

• 2.1 - to provide the Client with a standard Webstage website, which include:
• a. - Blog
• b. - Gigs
• c. - Photos
• d. - Music
• e. - Video
• f. - Up to five static pages
• 2.2 - to provide support to establish clause 2.1
• 2.3 - that the domain name is purchased and managed on behalf of the client and its ownership remains with the client
• 2.4 - ownership of content uploaded to the website remains with the client
• 2.5 - to provide responses to email support via contactwebstage@gmail.com within 2 working days

3. Client Agrees;

• 3.1 - to supply true and correct details as required per the design spec
• 3.2 - that ownership of the web design, web hosting and remains with dunedinmusic.com Ltd.
• 3.3 - allow Dunedinmusic.com Ltd to advertise on the website as per the web design mentioned in 2.1, unless otherwise agreed
• 3.4 - to pay the agreed fee on the first of each month into the nominated bank account. Failure to pay will result in suspension of the website and more than 30 days of non payment will result in termination of this agreement.

4. Termination

• 4.1 - This agreement can only be terminated by the client by providing written notice to contactwebstage@gmail.com. The site will be terminated within 72 hours and no refund will be given for part months payment.
• 4.2 - Dunedinmusic.com Ltd reserves the right to terminate this contract providing 30 days notice to the client.
• 4.3 - Upon termination of this agreement;
• a. - All content uploaded to the website will be provided to the client
• b. - If required, the domain name will be transferred into the clients management, subject to the client paying for the cost of the transfer and the remaining proportion of the yearly domain registration fee

5. General

• 5.1 - Both parties represent and warrant they have the power to enter this agreement.
• 5.2 - This agreement does not contravene any obligations owed to any third party.
• 5.3 - The client may not assign their rights and obligations under this agreement without the prior written consent of Dunedinmusic.com Ltd.
• 5.4 - Dunedinmusic.com Ltd is not liable for any loss, damage, expense or claim suffered or incurred directly or indirectly in connection with this agreement except where such loss, damage, expense or claim is caused by the gross negligence or willful default of Dunedinmusic.com Ltd.
• 5.5 - Website hosting is supplied by an external provider and while all reasonable efforts will be made to ensure continuity of service, this cannot be guaranteed. For downtime of more than 48 hours, Dunedinmusic.com Ltd will provide notification to the client.
• 5.6 - We reserve exclusive right at our sole discretion to add to, alter, limit or discontinue any part of the Webstage site.
• 5.7 - We reserve the right to alter this agreement at any time without notice.
• 5.8 - This agreement is governed by the laws of New Zealand. Each party irrevocably submits to the non-exclusive jurisdiction of the courts of New Zealand and courts of appeal from them.
